Terms of Service
These Terms of Service ("Terms") constitute a legally binding agreement between you and Indosabest Limited ("Indosabest", "we", "us", "our") governing your use of the Indosabest Marketplace platform at indosabest.com and all associated mobile applications and services. Please read these Terms carefully before registering or using the platform. By creating an account or placing/receiving an order, you confirm that you have read, understood, and agree to be bound by these Terms.
By accessing, registering on, or using the Indosabest Marketplace in any capacity, you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service and our Privacy Policy (incorporated herein by reference). If you do not agree to these Terms, you must not use the platform.
These Terms apply to all users of the platform, including buyers, sellers, and visitors. Additional terms may apply to specific services or promotions and will be communicated separately.
- You must be at least 18 years of age to create an account or use the platform in any capacity
- You must have the legal capacity to enter into binding contracts under Nigerian law
- If registering on behalf of a company, partnership, or other legal entity, you warrant that you have full authority to bind that entity to these Terms
- You must not have been previously suspended or permanently banned from the Indosabest platform
- You must be resident in or operating a business registered in the Federal Republic of Nigeria
Each individual or business entity is permitted one account only. Creating multiple accounts to circumvent bans, exploit promotions, or manipulate platform metrics is strictly prohibited and will result in permanent termination of all associated accounts.

- You must notify us immediately at support@indosabest.com if you suspect unauthorised access to your account
- Indosabest will never ask for your password via email, phone, or any other channel
- We strongly recommend enabling multi-factor authentication (MFA) on your account
You warrant that all information provided during registration and throughout your use of the platform is accurate, current, and complete. Providing false, misleading, or fraudulent information is a material breach of these Terms and may result in immediate account suspension and legal action.
To list products on the Indosabest Marketplace, all sellers must successfully complete our Know Your Business (KYB) and Know Your Customer (KYC) verification process. This process is mandatory, non-negotiable, and governed by Nigerian law including the CBN Anti-Money Laundering (AML) requirements, the Money Laundering (Prevention and Prohibition) Act 2022, and applicable regulatory frameworks.
Indosabest reserves the right to request additional documents or conduct further verification at any stage. Submitting fraudulent documents is a criminal offence under the Criminal Code Act and the Advance Fee Fraud and Other Related Offences Act.

- Board Resolution — A duly signed, dated, and company-sealed resolution passed by the board of directors, expressly authorising the named individual(s) to register and operate a seller account on the Indosabest platform, execute orders, receive payments, and bind the company to these Terms. The resolution must include the full names and designations of all signing directors
- CAC Form CO2 — Allotment of Shares, identifying all shareholders with 5% or more beneficial ownership
- CAC Form CO7 — Particulars of Directors, current and complete
- Memorandum and Articles of Association (MEMART) — certified true copy from CAC
- Certificate of Commencement of Business (for Public Limited Companies)
- Audited Financial Statements — last 2 financial years; mandatory for businesses with annual turnover above ₦25 million
- Shareholders' Register — where applicable and requested by compliance team
- CAC Business Name Registration Certificate
- Two recent passport photographs of the proprietor
- NIN (National Identity Number) and NIN slip
- Personal bank statement — last 3 months (for high-volume or flagged sellers)
All documents must be valid and unexpired at the time of submission. Expired documents must be renewed and the updated version re-submitted within 30 days of expiry. Failure to maintain valid documentation will result in automatic suspension of selling privileges.
Sellers in regulated product categories must provide valid, current licences from the relevant Nigerian regulatory authorities. Products listed without the required licences will be removed, and the seller account may be suspended or permanently banned.
- NAFDAC Registration Number & Certificate — mandatory for every individual packaged food, food supplement, or beverage product listed; the NAFDAC number must be displayed on each product listing
- SON (Standards Organisation of Nigeria) Certification — for processed or manufactured food products
- State Ministry of Health Food Handler's Certificate — for businesses engaged in food processing, packaging, or preparation
- HACCP Certification — required for food manufacturers with an annual output above thresholds set by NAFDAC
- Business Premises / Operational Certificate from the Local Government Authority
- Market Trader's Licence from the relevant market authority (for market-based food vendors)
Selling pharmaceutical products, prescription drugs, controlled substances, or unregistered medical devices on Indosabest without valid PCN and NAFDAC authorisation is strictly prohibited. Violators will be permanently banned and reported to the Pharmacists Council of Nigeria, NAFDAC, and NDLEA where applicable.

- NAFDAC Product Registration Certificate — required per individual drug, supplement, herbal preparation, or medical device listed
- Pharmacist-in-Charge Details — full name, PCN registration number, and current practising licence
- PCN Premises Inspection Certificate — valid for the specific business premises
- Drug Wholesale or Retail Licence from the relevant State Ministry of Health
- NAFDAC Import Permit for any pharmaceutical or medical product imported from outside Nigeria
- Good Distribution Practice (GDP) Certificate for pharmaceutical distributors and wholesalers
- Cold Chain Compliance Documentation for temperature-sensitive pharmaceutical products
- Farm Registration Certificate from the relevant State Ministry of Agriculture and Rural Development
- NAFDAC Agro-Chemical Registration Certificate for pesticides, herbicides, fungicides, fertilisers, or any agro-chemical product
- NAQS (Nigeria Agricultural Quarantine Service) Phytosanitary Certificate — required for interstate movement and export of plant and plant-derived products
- SON Product Certification for standardised agricultural commodities
- Organic Certification from an internationally accredited body (e.g., ECOCERT, Control Union, IFOAM affiliate) — required for any product marketed, labelled, or described as "organic"
- USDA / CODEX Phytosanitary Certificate — for export-grade produce
- Cold Chain & Post-Harvest Compliance Documentation for perishable agricultural products
- Veterinary Import Permit from Federal Department of Veterinary and Pest Control Services (for animal products)
- NAFDAC Cosmetics Registration Certificate per individual product SKU — the NAFDAC number must appear on each product listing and on physical packaging
- Safety Assessment Certificate from a NAFDAC-recognised safety assessor

- Maintain accurate, truthful, and up-to-date product listings — including correct descriptions, pricing, condition, category, and images
- Ship all confirmed orders via NIPOST within 48 hours of order confirmation, and upload the tracking number immediately upon shipment
- Package items securely and appropriately to prevent damage in transit
- Maintain valid and current regulatory licences for all product categories listed
- Respond to buyer queries and support requests within 24 hours on business days
- Not engage in any price manipulation, false reviews, or deceptive practices
- Immediately remove any listing upon expiry of the required regulatory licence
- Not sell products outside the scope of your approved and verified category
- Keep all KYB documents current and re-submit updated documents upon renewal
- Comply with all applicable Nigerian laws, regulations, and sector-specific standards
- Provide accurate delivery addresses — street, city, LGA, state, and phone number. Indosabest and sellers are not liable for failed deliveries due to inaccurate addresses
- Be available to receive or collect your shipment within a reasonable time from the NIPOST notification
- Raise genuine dispute claims only — filing fraudulent disputes is a breach of these Terms and may result in account suspension
- Pay for orders only through the official Indosabest wallet and escrow system — never make direct payments to sellers outside the platform
- Inspect products promptly upon delivery and raise any issues within 48 hours of confirmed delivery
- Not attempt to coerce, threaten, or harass sellers
- Buyers must top up their Indosabest wallet before placing orders; transactions outside the platform wallet system are not permitted
- Wallet funds are held in a designated trust account and are not used for Indosabest's operational expenses
- Sellers may withdraw wallet balances to their registered bank account subject to any applicable withdrawal limits and processing times (typically 1–3 business days)
If a seller fails to ship within 48 hours and upload a valid NIPOST tracking number, Indosabest reserves the right to automatically cancel the order and initiate a full refund to the buyer's wallet. The seller may be penalised under our seller performance policy.

- Product received is materially different from the listing description (wrong item, counterfeit, damaged)
- Order is cancelled before shipment (within the cancellation window)
- Buyer provided an incorrect delivery address
- Buyer refused to accept delivery without valid reason
- Delivery was confirmed by NIPOST and the buyer raises a dispute after the 48-hour inspection window
- Change of mind after shipment has occurred
- Buyer raises a dispute within 48 hours of NIPOST delivery confirmation, providing evidence (photos, descriptions)
- Indosabest notifies the seller, who has 48 hours to respond with counter-evidence
- Indosabest compliance team reviews all evidence and issues a binding decision within 5 business days
- If resolved in favour of the buyer: full or partial refund credited to wallet
- If resolved in favour of the seller: funds released from escrow to seller wallet
Indosabest's dispute decisions are final and binding on both parties. Persistent frivolous disputes may result in account suspension.
In the event of a successful buyer dispute after escrow release (e.g., confirmed fraudulent listing), Indosabest reserves the right to reverse the payout by debiting the seller's wallet. If the wallet balance is insufficient, Indosabest may pursue recovery through legal means.
The following conduct is strictly prohibited on the Indosabest platform and may result in immediate account termination, fund forfeiture, and/or referral to law enforcement:
- Fraud, impersonation, identity theft, or providing false information during registration or verification
- Money laundering, structuring transactions to avoid reporting thresholds, or any activity prohibited by the Money Laundering (Prevention and Prohibition) Act 2022
- Creating fake orders, fake reviews, or manipulating the platform's rating systems
- Conducting transactions outside the platform escrow system (side payments)
- Threatening, harassing, or abusing other users, buyers, sellers, or Indosabest staff
- Hacking, phishing, introducing malware, or attempting to gain unauthorised access to the platform or other users' accounts
- Listing products in categories for which you do not hold the required regulatory licence
- Using bots, scrapers, or automated tools to access the platform without written authorisation
- Hate speech, tribalism, religious bigotry, or any content that could incite violence or discrimination
- Reproducing, reselling, or redistriuting platform content without authorisation
The following categories of items are absolutely prohibited on the Indosabest Marketplace. Listings will be removed immediately and the seller account permanently banned. Relevant authorities will be notified where required by law.

Indosabest charges transaction fees to sellers. The current fee structure is published in the Seller Dashboard and may be updated with 14 days' notice. By continuing to sell after the effective date of a fee change, you accept the revised fees.
- Transaction Commission: A percentage of the total order value — current rate displayed in Seller Dashboard
- Wallet Withdrawal Fee: A flat fee or percentage per withdrawal to your bank account — displayed at point of withdrawal
- Account monthly fee is ₦1,000/month
- All fees are quoted in Nigerian Naira (NGN) and are inclusive of applicable taxes
All platform content created by Indosabest — including the Indosabest name, logo, trademarks, software, UI design, and proprietary content — is the exclusive property of Indosabest Limited and is protected by Nigerian intellectual property law.
Sellers retain ownership of their product listings, photos, and descriptions. By uploading content to the platform, sellers grant Indosabest a non-exclusive, royalty-free, worldwide licence to display, reproduce, and promote that content on the platform and in marketing materials.
You must not upload content that infringes the intellectual property rights of any third party. Indosabest will respond to takedown notices in accordance with applicable law.
Indosabest operates as a marketplace intermediary and escrow agent. To the maximum extent permitted by Nigerian law, Indosabest is not liable for:
- The quality, safety, accuracy, legality, or fitness for purpose of any product listed or sold by a seller
- Losses arising from NIPOST delivery delays, failures, or damage in transit
- Losses arising from fraudulent seller conduct where Indosabest acted in good faith based on submitted documents
- Service interruptions, platform downtime, or data loss beyond our reasonable control
- Payment gateway failures by Paystack, Monnify, or other third-party processors
- Force majeure events — including natural disasters, government actions, pandemics, or telecommunications failure
Where Indosabest is found liable, our maximum liability to any user shall not exceed the total value of the specific transaction giving rise to the claim.
You agree to indemnify, defend, and hold harmless Indosabest Limited, its directors, officers, employees, agents, and partners from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or relating to:
- Your breach of these Terms of Service
- Your violation of any applicable Nigerian law or regulation
- Products you list or sell on the platform, including any product liability claims
- Your submission of fraudulent, false, or misleading documents during KYB/KYC verification
- Any third-party intellectual property infringement claims arising from your content
Indosabest may suspend or permanently terminate your account, with or without notice, if you:
- Materially breach these Terms of Service
- Submit fraudulent or falsified KYB/KYC documents
- List prohibited items or operate without required regulatory licences
- Engage in money laundering, fraud, or any criminal conduct on or connected to the platform
- Fail to maintain required seller performance standards after formal warning
Upon termination for breach: Any wallet balance may be frozen pending investigation. Funds found to be proceeds of fraud or policy breach may be forfeited to Indosabest or returned to affected buyers. Legal referrals will be made to EFCC, ICPC, NDLEA, or other relevant authorities as appropriate.
You may close your account at any time by contacting support@indosabest.com. Any pending orders must be completed or cancelled before account closure. Remaining wallet balance (after all obligations are settled) will be refunded to your registered bank account within 10 business days.
These Terms of Service shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the Nigerian courts, with venue in the Federal Capital Territory, Abuja.
Before initiating formal legal proceedings, both parties agree to attempt good-faith resolution through direct negotiation for a period of 30 days. If unresolved, disputes may be referred to mediation under the rules of the Lagos Court of Arbitration or such other body as the parties agree in writing.
Indosabest reserves the right to amend these Terms of Service at any time. Material changes will be communicated via email notification and a prominent notice on the platform at least 14 days before the effective date. Your continued use of the platform after the effective date constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must cease using the platform and may close your account.
Minor clarifications, typographical corrections, and non-material updates may be made without advance notice. The "Last Updated" date at the top of this document always reflects the current version.
